Applying masters to new pages as you create them

Master pages are automatically applied to newly created pages, but how this happens is determined by the command you use to add the new pages:

The Layout > Insert Pages command adds pages before or after the currently selected page (or, optionally, between the pages of the selected spread). In the Insert Pages dialog box, you select a master to apply to the new pages. If the publication is double-sided, and you want to apply one master to the new left-hand pages and another master to the new right-hand pages, select the Set Left and Right Pages Separately option, and then select the masters you want to apply.

When you create a master page, remember that it has no effect until you apply it to specific pages. By default, applying a master does not affect existing objects on the page. In addition to using the default Document Master in your publication, you can create a master page from scratch, or create a master based on an existing master or publication page. If you plan to have several master pages that share one or more design attributes (such as position and formatting of page numbers), you can save time by designing the Document Master page or spread, and then basing additional masters on the Document Master, rather than creating each new master from scratch.

To make a new master from scratch:
1 Choose Window > Show Master Pages.
2 Choose New Master Page from the Master Pages palette menu, or click the new master button () at the bottom of the palette.
3 Type a name for the master, and specify whether you want a single page or a two-page spread.

If your publication is single-sided, you do not have the option of creating a spread. See Setting up pages for more information on creating single-sided or double-sided pages.

4 Specify the margins, number of columns, and space between the columns.

If you are creating a two-page master spread, be sure to specify columns and the distance between them for both left- and right-hand pages in the spread.

5 Click OK.

PageMaker displays the newly created master page in the publication window, and adds its name to the Master Pages palette.

To make a new master from an existing master page:
1 Choose Window > Show Master Pages.
2 Do one of the following:
# Drag the name of the master you want to duplicate to the new master button (). In the dialog box that appears, type a name for the new master, and then click Duplicate.
# Choose Duplicate from the Master Pages palette menu, and in the dialog box that appears, select a master to duplicate. Specify a name for the new master, and click Duplicate.

The new master page becomes active, and its name appears on the Master Pages palette.

To make a new master from an existing page:

In multipage publications, your design will be more cohesive if each page is built on a common foundation, or master page. A master page typically contains basic design elements, such as headers, footers, and page numbers, that are common to most or all pages in your publication. Master pages also contain nonprinting layout guides, such as column guides, ruler guides, and margin guides. Each publication can have a virtually unlimited number of master pages.

You can create, modify, and delete objects on master pages just like any other objects, but you must do so from the master pages themselves.

Each publication you open contains a Document Master page or (if the publication includes facing pages) a Document Master page spread. The Document Master applies to all pages in the publication until you specify otherwise, and -cannot be renamed or removed from the publication.

An icon representing the master pages appears at the lower left corner of a publication window in layout view. The letters L and R (for left and right) mark the master page icon for facing pages; a single-sided publication icon is marked by an R alone. Click the icon to turn to the master applied to the current publication page.

Creating a page with different column setups

You can vary the number of columns on -different parts of the same page. For -example, you may want two columns on the top half of the page and three -columns on the bottom. You can mix columns in almost any combination within the limit of 20 columns per page.

To create different column setups on the same page:

1 Choose Layout > Column Guides, type the number of columns you want to have in the top part of your page, and then click OK.

2 Position a ruler guide where you want the two-column format to end.

3 Position text within the first column down to the ruler guide. Then click the bottom of the windowshade handle.

4 Position text within the second column down to the ruler guide.

5 Repeat step 1, but this time type the number of columns you want to have in the bottom part of your page, and make sure that the Adjust Layout option is not selected in the dialog box. Then pull a ruler guide down and position it where you want the top of the columns to begin.

6 Place the rest of the text within the newly defined columns, or -select another document to place.

Moving and locking columns

To adjust column widths, you can move the column guides by dragging them. The two lines forming the gutter between columns move together. Text and graphics already on the page are not changed in any way when you drag column guides.

The leftmost and rightmost column guides, which overlap the margin guides, move individually. (Moving these column guides does not affect the margin guides.) All other column guides move in pairs, so that the space between columns remains consistent.

Note: If you choose the Column Guides command after moving column guides manually, the word Custom appears for the Number of Columns -option. The space between columns remains as originally specified.

Once you have set up your columns, you can lock them in place to prevent accidental moving.

To lock or unlock column and ruler guides:

1 Choose View > Lock Guides.

You create columns to control the flow of text in text blocks that you place automatically, and to help position text and graphics. How you specify columns is determined by the command you use:

~ The Layout > Column Guides command creates a specified number of columns of identical widths, fitting them within the margins of the page. If text or graphics are already on the page, PageMaker can reposition them to align with the revised column setup if you select Adjust Layout in the Column Guides dialog box. See Adjusting a layout automatically for details.
~ The Utilities > Plug-ins > Grid Manager command fits columns within any area you specify, or creates columns of a specified width. For more information, see Creating and applying layout grids.

You can create up to 20 columns on a page. (The default setting is one column per page, which is the entire area between the margins.) To save time and ensure consistency, add column guides to master pages rather than to specific publication pages. For more information about setting up columns on master pages, see Using guides with master pages.

To set up columns on a page:
1. Turn to the publication page or master page where you want the columns.
2. Choose Layout > Column Guides.

When facing pages appear in the publication window and you choose Column Guides, the Set Left and Right Pages Separately option appears so that you can set columns differently for each page.

3 Type the number of columns you want on the page and the space you want between columns (the gutter).

If you are setting left and right pages separately, type values for both pages.

4 Select Adjust Layout if you want existing text and graphics on the page to adjust to the revised column setup, and then click OK.

PageMaker creates the specified number of columns, equally spaced and equally sized.

Working with nonprinting guides

Nonprinting guides are lines that help you position objects on pages but do not appear in print. These lines form the framework of the layout grid. There are three kinds of non-printing guides: margin guides, column guides, and ruler guides.

~ Margins are defined in the Document Setup dialog box when you first create a publication, and are applied to the Document Master page. Margin guides appear automatically on the pages to which the Document Master is applied. Master pages you create in addition to the Document Master can have different margins. You can change the Document Master margins using the File > Document Setup command or by choosing Master Page Options from the Master Pages palette menu with the Document Master selected. You can change the margins on other master pages only by using the Master Page Options command on the Master Pages palette menu.
~ Column guides serve as boundaries for text you place within them. Every page has at least one column, which is the area between the margins. When you specify multiple columns (with the Layout > Column Guides command, or when creating or editing a master page), PageMaker automatically creates columns of equal size that fit between the margins. To create unequally sized columns, use the pointer tool to drag the column guides to the positions you want.
# Ruler guides, like column guides, are non-printing lines that help you align items on a page. Unlike column guides, ruler guides don't control the flow of text; they help you align objects precisely.

You can define and revise each kind of guide separately, or you can use the Grid Manager plug-in to define and save a collection of margin, column, and ruler guides as layout grids; see Creating a grid. You can apply a grid to any range of pages in the publication, and reuse grids in other publications.

To display or hide the column, ruler, and margin guides on the page:
1. Choose View > Show/Hide Guides.

If you try to select an object but instead select a guide that overlaps it, you can press Ctrl (Windows) or Command (Mac OS) to select the object through the guide. Or, you can set guides to display in back of page elements throughout the current publication by choosing View > Send Guides to Back. (To set the option for all new publications you create, choose the command with no publication open.)

To force objects you move or resize to align with the nearest guide:
1. Choose View > Snap to Guides.

All -margin, column, and ruler guides exert a magnet-like pull on any tool, text, or graphic within 3 pixels of the guide. This option makes it easy to align text and graphics precisely to a guide, regardless of whether or not the guide rests on ruler increments.

Using the zero point

The zero point is the position at which the zeros on the vertical and horizontal rulers intersect.

When you start a new, single-sided publication, PageMaker puts the zero point at the top left corner of the page. When you work with facing pages, the default zero point is at the intersection of the top inside edges of the facing pages.

You can easily move the zero point to measure distances from a specific part of your page or to customize the way oversized pages print. To avoid accidentally moving the zero point after you set it, you can lock it in place.

To move the zero point:
1. Position the pointer tool on the crosshair in the zero point window.
2. Drag to the new location.
3. Release the mouse button; the zero point is reset.

Before and after zero point is moved

To lock the zero point:
Choose View > Zero Lock.

To reset the zero point:
Double-click the zero point to reset it to the -default location.

Overriding the unit of measure

You can temporarily override the current unit of measure when you type a value in any dialog box. For example, if you have specified inches as your publication measurement system but want to specify the top margin of your page as 6 picas, type 6p for the top margin in the Document Setup dialog box. PageMaker converts the measurement for you.

To override the unit of measure:
~ Inches: Type i after the number (as in 5.25i for 5-1/ 4 inches).
~ Millimeters: Type m after the number (as in 25m for 25 millimeters).
~ Picas: Type p after the number (as in 18p for 18 picas).
~ Points: Type p before the number (as in p6 for 6 points).
~ Picas and points: Type p between the numbers (as in 18p6 for 18 picas, 6 points).
~ Ciceros: Type c after the number (as in 5c for 5 ciceros).

Choosing a measurement system and setting up rulers

Each publication window can include horizontal and vertical rulers that extend along the top and left borders of the window. You can display rulers when you need them and hide them when you want more room on the screen to view a publication. The rulers must be visible in order to manually create ruler guides, which are nonprinting extensions of the ruler.

When you need to precisely position text objects and graphics on a page, use the ruler increments. The increments shown on the rulers depend on the size and resolution of your screen, the unit of measure you specify, and the display size you choose. You can make any item you place, resize, or move align to the nearest intersection of tick marks on the invisible grid defined by the rulers.

Invisible grid defined by rulers

Because the rulers set up your layout grid, it's a good idea to choose a measurement system before you begin laying out pages. You can set the unit of measure separately for each ruler. For example, you may want to measure vertical lines of text vertically in points, but prefer millimeters for margins, tabs, and other horizontal measurements.

The horizontal ruler is set to picas; the vertical ruler is set to Custom, 12 points.

The horizontal ruler reflects the unit of measure used for most measurements in the publication. You specify tabs, margins, indents, and other measurements according to the measurement system reflected on the horizontal ruler.

You usually work with one unit of measure throughout a publication, but you can change to another unit of measure at any time. Guides and -objects already positioned using the original measurement system will stay in place, and might not align with the altered ruler tick marks.

To hide or display rulers:

1 Choose View > Show/Hide Rulers.

To select a measurement system and set the vertical ruler:
1. Choose File > Preferences > General.
2. Select the Measurement System option you want to use.
The horizontal ruler reflects the measurement system you select.
3. Select a Vertical Ruler option, and then click OK.

To use points for the vertical measurement, set the vertical ruler to Custom, and then type the number of points you want between tick marks on the ruler--typically this will match the leading for body text in your publication.

Removing master page formatting

You can quickly clear one or more publication pages of the current master page's formatting (with the exception of margins) by applying the None master, which is available from every publication. By default, applying the None master removes only the objects, not the column and ruler guides, that had been on the previously assigned master page; but by using keyboard modifiers as you apply the None master, you can specify that column guides and rulers are also removed from the pages.

To remove master page formatting from several publication pages at a time, choose the Apply command from the Master Pages palette menu and select None as the master. The following procedure explains how to quickly apply None to the active page.

To remove master page formats from a page:
1. Turn to the page you want to change.
2. Use one of the following options:

Note: To apply any of the following changes to only one page in a pair of facing pages, press Alt (Windows) or Option (Mac OS) and click the side of the None master icon that corresponds to the side of the spread you want to change as you follow the step.
# To remove the master page objects but retain column and ruler guides, click None in the Master Pages palette.
# To remove the master page objects, column guides, and ruler guides, hold down Shift and click None in the Master Pages palette.

Revising, renaming, or deleting masters

When you revise master pages, the changes appear instantly on associated publication pages. You can add or manipulate text and graphics, and change guides or rulers on masters just as you can on any publication page. To change a master page's margins, however, use the Master Page Options command on the Master Pages palette menu, not the File > Document Setup command. Document Setup controls margins for the Document Master (and all pages to which that master is applied).

Note: To change column setup, turn to the master page and use either the Layout > Column Guides command or the Master Page Options command from the Master Pages palette menu.

To revise or rename a master page:
1. Turn to the master page you want to revise. (If you are changing the master's name or its margins or columns only, you can skip this step and go to step 3.)
See Displaying master pages and master page items for more information.
2. Add or modify text, graphics, or nonprinting guides on the page.
If you use the mouse or the Control palette to reposition guides on a master, the changes appear on associated publication pages, but the objects on those pages do not change position or size.
3. To change the master's name, margins, or column guides, either click the name of the master you want to modify and choose Master Page Options from the Master Pages palette menu, or press Ctrl (Windows) or Command (Mac OS) and click the name of the master you want to modify.
4. Type the new name and the new values you want for margins or columns.
5. Select Adjust Layout if you want objects and guides on the associated pages to be repositioned or resized as appropriate for changes to margins and columns of the master you are modifying, and then click OK.

To quickly open the Master Page Options dialog box, press Ctrl (Windows) or Command (Mac OS) and click the name of the Master Page you want to edit.

To delete a master page and all of the objects on it:
1. Choose Window > Show Master Pages.
2. Select the master page to delete, and either choose Delete [master name] from the Master Pages palette menu, or click the Trash button on the bottom of the palette.
3. When prompted, click OK or Delete.

Note: To bypass the prompt message when deleting a master page, press Alt (Windows) or Option (Mac OS) as you drag the pages to the Trash button at the bottom of the palette.

PageMaker deletes the master, and applies the None master to all pages to which the deleted master had been applied.

Displaying master pages and master page items

You must turn to a master page if you want to add or modify guides and objects on the master. (If you simply want to edit the name of the master or change margins or column setup, you can use the Setup command on the Master Pages palette menu. See Revising, renaming, or deleting masters.)

To turn to a master page, use any of the following techniques:
~ Click the master page icon at the bottom of the publication window to display the master page applied to the current page. If you are working on a spread with two different masters applied, PageMaker turns to the master applied to the right-hand page.
~ Click the right mouse button (Windows) or click the master page icon and hold down the mouse button (Mac OS) until the list of masters appears. Then select the master you want to view.
~ Choose Layout > Go to Page, and then select the name of the master you want.

Note: When the master page icon is highlighted, clicking a master name or icon on the Master Pages palette displays the master you selected. But when a publication-page icon is selected, clicking a master name or icon on the Master Pages palette applies the master.

The guides and objects on the master page appear on the pages to which the master is applied; however, you can specify that a page not display or output the items from its associated master page.

To display or hide master page objects on specific publication pages:
1. Go to the publication page you want to change.
2. Choose View > Display Master Items.

When the menu option is checked, master page items are visible on the page.

Moving between pages

You can easily move from one page or spread to another when you are working on a publication with multiple pages. You can go directly to a specific page or thumb through pages in sequential order. You can also view master pages.

To move between publication pages:
Use the technique that suits your needs:
~ Click a page icon along the bottom of the layout window. (Click the left or right arrows to view lower- or higher-numbered page icons.)
~ Choose Layout > Go to Page, and type the page number you want.
~ To go to the previous page, press the Page Up key; to go to the next page, press the Page Down key.
~ To go to the beginning of the text line (Windows) or text block (Mac OS), press the Home key. To go to the end of the text line (Windows) or text block (Mac OS), press the End key.

You can edit text in PageMaker either on the page in layout view or as a story in story editor, a word-processing environment.

Major text revisions are quicker and easier to make in story editor, where the focus is on the text, not its appearance. Screen redraw is faster in story editor because only a limited amount of formatting is visible, and navigating through stories is easier because you don't have to change pages or views to see all of the text in a story. Spelling, Find, Find Next, and Change com-mands are available only in story editor.

To open a new story editor window:
Do one of the following:
~ With nothing selected in layout view, choose Edit > Edit Story.
~ In story editor, choose Story > New Story.

To open an existing story in story editor:
1. Select the text object with the pointer tool, or click an insertion point in the text object.
2. Choose Edit > Edit Story.

The existing story opens in story editor with the insertion point positioned at the top of the text object or at the place you clicked within the text object.

With the pointer tool, triple-click a text object to open its story window, or press Ctrl+E (Windows) or Command+E (Mac OS) while text or the text object is selected.

To return to layout view:
1 In story editor, do one of the following:
~ Choose Story > Close Story. You return to your previous position in layout view and close the story window.
~ Choose Edit > Edit Layout. You return to your previous position in layout view without closing the story window.
~ Click in the layout window. The story window remains open but moves behind the layout window.

Identifying a text object

The borders of a text object are defined across the top and bottom by lines with loops, called windowshade handles, and by solid square handles at the four corners of the text block. (A text frame has a handle on each side of the object, as well as at the corners, and a nonprinting cyan border.)

Moving and resizing text objects

After you add text, you can adjust the size, shape, or location of text objects without affecting the order of text in the story or its formatting. In addition, you can combine text objects from different stories or break threaded text into separate text objects and stories.

To move a text object:
1. Position the pointer tool anywhere inside the text object and hold down the mouse button.
2. When the pointer changes, drag the text object to a new position.

If you click a text object and then pause slightly before dragging, you'll see the text as you move it, making it easy to position it accurately (left). Otherwise, you'll see the outline of the text object as you drag (right).

To resize a text object:
With the text object selected, click the pointer tool on a corner handle (for a text block) or any selection handle (for a text frame) and drag to resize the text object.

To break threaded text into a separate, unthreaded story:
1 Use the text tool to select the text to be separated from the story, and choose Edit > Cut.

Click an insertion point outside an existing text object to create a new text block, or click in an empty unthreaded frame, and choose Edit > Paste. The pasted text appears, but it is no longer threaded to the original story.

If the text you want to separate is in its own text frame with no other text, select the frame and choose Element > Frame > Break Threads. This does not break the flow in the remaining text frames in that thread.

To combine two text blocks from different stories into one story:
1. Use the pointer tool to select the text block you want to remove, and choose Edit > Cut.
2. Click an insertion point in the text block where you want to -insert the text, and choose Edit > Paste.

You may need to extend the last text object in the story or add pages to see all of the text.
You can also use this procedure to change the order in which text is threaded within a single story.

To reposition the page by dragging:

1 Do one of the following:
# Press Alt (Windows) or Option (Mac OS).
# Select the hand tool in the toolbox.

2 Drag to display the part of the page or pasteboard you want to view.

If you press Alt or Option in step 1, the hand icon changes back to the tool you were using before you dragged the page.

Magnifying and reducing with the zoom tool

Use the zoom tool to magnify or reduce the display of any area in your publication. You can also double-click the tool to jump to Actual Size, or press Alt (Windows) or Option (Mac OS) as you double-click the tool to go to Fit in Window view.

To magnify or reduce with the zoom tool:

1 Select the zoom tool.

The pointer becomes a magnifying glass with a plus sign in its center, indicating that the zoom tool will magnify your view of the image. (The magnifying glass shows a minus sign in its center when in reduction mode.) To toggle between magnification and reduction, press the Ctrl key (Windows) or the Option key (Mac OS).

2 Position the magnifying glass at the center of the area you want to magnify or reduce, and then click to zoom in or out.

Continue clicking until the publication is at the magnification level you want. When the publication has reached its maximum magnification or reduction level, the center of the magnifying glass appears blank.

To magnify part of a page by dragging:

1 Select the zoom tool.

2 Drag to draw a marquee around the area you want to magnify.

To zoom in or out while using another tool:

1 Press Ctrl+Spacebar (Windows) or Command+Spacebar (Mac OS) to zoom in. Press Ctrl+Alt+Spacebar (Windows) or Command+Option+Spacebar (Mac OS) to zoom out.

2 Click to zoom in or out, or drag to select an area you want to zoom in on.

Choosing preset page views

Use commands on the View menu to display the page or pasteboard at preset views. A page retains its view until you change the view again.

View settings serve various purposes. Use Fit in Window when you need to check the overall composition of a page or a two-page spread; use Actual Size to see text and graphics as they will appear when printed; and choose View > Zoom To > 200% Size or 400% Size when precision is imperative. To find or view objects on the pasteboard, use Entire Pasteboard.

To move to the next greater or lesser preset view of a page, choose View > Zoom In or View > Zoom Out.

Check the overall composition in Fit in Window, or zoom in to 200% view or greater for detail work.

# Open and close most palettes using keyboard shortcuts. You can also show or hide all palettes and the toolbox by pressing the Tab key (make sure an insertion point is not selected in your text).

# To rearrange, separate, or reorganize palettes, drag a palette's tab. You can drag a palette outside of an existing group to create a separate palette or drag it over an existing group to add the palette to that group. (The Control, Library, Scripts, and Data Merge palettes cannot be grouped with other palettes.) By default, the Colors and Styles palettes are grouped together so that they appear as panels within a larger palette; the Layers and Master Pages palettes are also grouped together in this way.
# Click a palette's tab to make it appear at the front of the group.
# Drag a palette to a convenient place on your desktop and leave it open while you work.
# To move an entire palette group, drag its title bar.
# To display a palette's menu commands, click the triangle in the upper right corner of the palette.

# To change the height or width of a palette, drag the size box at the lower right corner of the palette.
# To increase your work space, click the zoom box in the far right corner of the title bar to collapse the palette group, or, to preserve the width of a palette when you collapse it, double-click a palette's tab. 2. Your non-compliance with Specifications;

3. improper or inadequate maintenance or calibration;

4. Your or third-party media, software, interfacing, supplies, or other products;

5. modifications not performed or authorized by HP;

6. virus, infection, worm or similar malicious code not introduced by HP; or

7. abuse, negligence, accident, loss or damage in transit, fire or water damage, electrical disturbances, transportation by You, or other causes beyond HP’s control.

e. HP provides third-party products, software, and services that are not HP Branded “AS IS” without warranties of any kind, although the original manufacturers or third party suppliers of such products, software and services may provide their own warranties.

f. If notified of a valid warranty claim during the warranty period, HP will, at its option, correct the warranty defect for HP Branded Software, or replace such Software. If HP is unable, within a reasonable time, to complete the correction, or replace such Software, You will be entitled to a refund of the purchase price paid upon prompt return of such Software to HP. You will pay expenses for return of such Software to HP. HP will pay expenses for shipment of repaired or replacement Software to You. This section 3.(ii) f states HP's entire liability for warranty claims.

g. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXCEPT AS EXPRESSLY WARRANTED IN SECTION 3.(ii) a and b ABOVE, HP AND ITS SUPPLIERS PROVIDE THE SOFTWARE “AS IS” AND WITH ALL FAULTS, AND HEREBY DISCLAIM ALL OTHER WARRANTIES AND CONDITIONS, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE AND NON-INFRINGEMENT, ANY IMPLIED WARRANTIES, DUTIES OR CONDITIONS OF MERCHANTABILITY, OF FITNESS FOR A PARTICULAR PURPOSE, AND OF LACK OF VIRUSES. Some states/jurisdictions do not allow exclusion of implied warranties or limitations on the duration of implied warranties, so the above disclaimer may not apply to You in its entirety.

4. INTELLECTUAL PROPERTY INFRINGEMENT FOR SOFTWARE PROVIDED FOR A LICENSE FEE:

a. In the event Software was provided to You for a License Fee, HP will defend or settle any claim against You alleging that HP Branded Software products provided under this Agreement infringes intellectual property rights in the country where they were sold, if You:

1. promptly notify HP of the claim in writing;

2. cooperate with HP in the defense of the claim; and

3. grant HP sole control of the defense or settlement of the claim.

HP will pay infringement claim defense costs, HP–negotiated settlement amounts, and court-awarded damages.

b. If such a claim appears likely, then HP may modify the HP Branded Software products, procure any necessary license, or replace the affected item with one that is at least functionally equivalent. If HP determines that none of these alternatives is reasonably available, then HP will issue You a refund equal to the purchase price paid for the affected item if within one year of delivery, or Your net book value thereafter.

c. HP has no obligation for any claim of infringement arising from:

1. HP’s compliance with Your or third party designs, specifications, instructions, or technical information;

2. modifications made by You or a third party;

3. Your non-compliance with the Specifications or the documentation described in section 2. a above; or

4. Your use with products, software, or services that are not HP Branded.

d. This section 4 states HP's entire liability for claims of intellectual property infringement for Software provided for a license fee.

5. LIMITATION OF LIABILITY AND REMEDIES

Notwithstanding any damages that You might incur, and except for damages for bodily injury (including death) and for the amounts in section 4.a, the entire aggregate liability of HP and any of its suppliers relating to the Software or this Agreement, and Your exclusive remedy for all of the foregoing, shall be limited to the greater of the amount actually paid by You separately for the Software or U.S. $5.00. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HP OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS OR REVENUES, BUSINESS INTERRUPTION, DOWNTIME COSTS, FAILURE TO REALIZE EXPECTED SAVINGS, LOSS, DISCLOSURE, UNAVAILABILITY OF OR DAMAGE TO DATA, SOFTWARE RESTORATION, OR LOSS OF PRIVACY ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE, OR OTHERWISE IN CONNECTION WITH ANY PROVISION OF THIS AGREEMENT, EVEN IF HP OR ANY SUPPLIER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF THE REMEDY FAILS OF ITS ESSENTIAL PURPOSE. Some states/jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

6. TERMINATION

This Agreement is effective unless terminated or rejected. Notwithstanding the foregoing, this Agreement will also terminate upon conditions set forth elsewhere in this Agreement or if You fail to comply with any term or condition hereof. Immediately upon termination You will destroy the Software and all copies of the Software or return them to HP. You may retain one copy of the Software subsequent to termination solely for archival purposes only. At HP’s request, You will certify in writing to HP that You have complied with these requirements. Sections 3.(i), 3.(ii) g, 5, 6 and 7 of this Agreement will survive termination of this Agreement.

7. GENERAL

a. You may not assign, sublicense, delegate or otherwise transfer (“Assign”) all or any part of this Agreement without prior written consent from HP, payment to HP of any applicable fees, and compliance with HP's Software license transfer policies and any applicable third party license terms. Any such attempted Assignment will be null and void. Where an authorized Assignment occurs in accordance with this section, Your rights under this Agreement will terminate, and You will immediately deliver the Software and all copies to the Assignee. The Assignee must agree in writing to the terms of this Agreement, and the transferee thereafter will be considered “You” for purposes of this Agreement. You may transfer firmware only upon transfer of the associated hardware.

b. If the Software is licensed for use in the performance of a U.S. Government prime contract or subcontract, You agree that, consistent with FAR 12.211 and 12.212, commercial computer Software, computer Software documentation and technical data for commercial items are licensed under HP’s standard commercial license.

c. To the extent You export, re-export, or import Software, technology, or technical data licensed or provided hereunder, You assume sole responsibility for complying with applicable laws and regulations and for obtaining required export and import authorizations. HP may suspend performance if You are in violation of any applicable laws or regulations.

d. You agree that HP may audit Your compliance with this Agreement. Any such audit would be at HP’s expense, require reasonable notice, and would be performed during normal business hours. If an audit reveals underpayments then You will immediately pay HP such underpayments together with the costs reasonably incurred by HP in connection with the audit and seeking compliance with this section.

e. This Agreement is governed by the laws of the State of California, U.S.A., excluding rules as to choice and conflict of law. You and HP agree that the United Nations Convention on Contracts for the International Sale of Goods will not apply to this Agreement.

f. Subject to the other terms and conditions of this Agreement, this Agreement is the entire agreement between HP and You regarding Your Use of the Software, and supersedes and replaces any previous communications, representations, or agreements, or Your additional or inconsistent terms, whether oral or written. In the event any provision of this Agreement is held invalid or unenforceable the remainder of the Agreement will remain enforceable and unaffected thereby.

g. HP’s failure to exercise or delay in exercising any of its rights under this Agreement will not constitute or be deemed a waiver or forfeiture of those rights.

ANZAHL DER GERÄTE:

1. ALLGEMEINES

a. Die Anreden Sie, Ihr und Ihnen beziehen sich entweder auf eine einzelne natürliche Person oder auf eine einzelne juristische Person.

b. HP bedeutet Hewlett-Packard Company oder eines seiner Tochterunternehmen.

c. Marke HP bedeutet Softwareprodukte, die ein Markenzeichen oder Dienstleistungszeichen von Hewlett-Packard Company oder eines Konzernunternehmens von Hewlett-Packard tragen, sowie eingebettete, von HP ausgewählte Software Dritter, die nicht unter Lizenzvertrag einer dritten Partei angeboten werden.

d. Software bedeutet computerlesbare Instruktionen und Daten (sowie Kopien davon) einschließlich Middleware und dazugehörige Updates und Upgrades, zu deren Bezug Sie möglicherweise separat berechtigt sind, lizenziertes Material, Benutzerdokumentation, Benutzerhandbücher und Bedienungsanleitungen. "Zusatz-Software" bedeutet Software, die unter einer Public Lizenz, Open-Source-Lizenz oder Lizenz Dritter bereitgestellt wird, oder Teile davon.

e. Spezifikation bedeutet technische Informationen über Softwareprodukte, die in HP Produkthandbüchern, Benutzerdokumentationen und technischen Datenblättern veröffentlicht sind, welche zu dem Zeitpunkt gültig sind, an dem HP Ihnen die Softwareprodukte liefert.

f. Transaktionsdokument(e) bedeutet eine angenommene Kundenbestellung (unter Ausschluss vorgedruckter Bestimmungen) und damit in Beziehung stehende, gültige Angebote, Nutzungslizenz-Zertifikate oder Rechnungen von HP.

2. LIZENZBESTIMMUNGEN UND -EINSCHRÄNKUNGEN

a. Vorbehaltlich der Zahlung der geltenden Lizenzgebühr erteilt Ihnen HP gemäß den Bestimmungen dieses Vertrages eine nicht exklusive, nicht übertragbare Lizenz zur Nutzung (siehe folgende Definition) einer Kopie der Software in Objektcode-Form auf jeweils nur einem Gerät gleichzeitig für Ihre internen geschäftlichen Zwecke, falls vorstehend oder in (einem) geltenden Transaktionsdokument(en) nicht anders angegeben. "Nutzung" bedeutet Installieren, Speichern, Laden, Ausführen und Anzeigen der Software unter Beachtung der Spezifikationen. Ihre Nutzung der Software unterliegt den vorliegenden Lizenzbestimmungen sowie anderen von HP in schriftlicher oder elektronischer Form festgelegten Einschränkungen, die Ihnen zusammen mit der Software oder zum Zeitpunkt des Kaufs der Software geliefert oder anderweitig zugänglich gemacht wird, insbesondere Lizenzbestimmungen, Garantieerklärungen, Spezifikationen und "Readme"-Dateien oder andere Informationsdateien, die in der Software enthalten sind. Solche Beschränkungen gelten hiermit als in diesen Vertrag aufgenommen, und es wird auf sie verwiesen. Für bestimmte Software sind möglicherweise Lizenzschlüssel erforderlich, oder sie enthält andere technische Schutzmaßnahmen. Sie erkennen an, dass HP Ihre Einhaltung der Nutzungsbeschränkungen möglicherweise remote oder auf andere Weise kontrolliert. Sie stimmen zu, ein Lizenzverwaltungsprogramm, das HP möglicherweise bereitstellt und in dessen Rahmen Lizenznutzungsdaten erfasst und gemeldet werden, korrekt zu installieren, zu konfigurieren und auszuführen, und zwar nicht später als hundertachtzig (180) Tage vom Datum der Verfügbarmachung an Sie und weiterhin solange die Software genutzt wird.

b. Mit diesem Vertrag werden kein Anspruch auf und keine Eigentumsrechte an der Software selbst übertragen, und es werden keine Rechte auf die Software selbst verkauft. Drittanbieter und Anbieter von Zusatz-Software sind geschützte Dritte unter diesem Vertrag und sind berechtigt, ihre Rechte an der Software bei etwaigen Vertragsverletzungen zu schützen. Alle Rechte, die Ihnen nicht ausdrücklich gewährt werden, bleiben allein HP oder seinen Lieferanten vorbehalten. Nichts in diesem Dokument darf dahingehend ausgelegt werden, dass Ihnen eine weitere Lizenz an der Software einräumt wird als im vorliegenden Abschnitt 2 ausdrücklich aufgeführt, weder stillschweigend, durch Verwirkung („Estoppel“) oder anderweitig.

c. Soweit nicht abweichen von HP genehmigt, dürfen Sie (a) Kopien oder Anpassungen der Software lediglich zu Archivierungszwecken machen oder in Fällen, in denen eine Kopie oder Anpassung ein wesentlicher Schritt für die berechtigte Nutzung der Software auf einem Sicherungscomputer oder -gerät ist, unter der Bedingung, dass Kopien und Anpassungen auf keine andere Weise benutzt werden und unter der weiteren Bedingung, dass die Nutzung auf dem Sicherungscomputer oder -gerät beendet wird, sobald der ursprüngliche Computer bzw. das ursprüngliche Gerät betriebsbereit ist; und dürfen Sie (b) die Software nicht auf ein öffentliches oder extern zugängliches Netzwerk kopieren oder anderweitig auf, über oder durch dieses Netzwerk nutzen oder bereitstellen.

d. Zur Nutzung einer Software, die als Update oder Upgrade gekennzeichnet ist, müssen Sie zuerst über eine Lizenz für die ursprüngliche Software verfügen, die von HP als für das Update oder Upgrade geeignet gekennzeichnet ist. Wenn das Update oder Upgrade so ausgelegt ist, dass es die Software in nennenswertem Umfang ersetzt, dürfen Sie nach dem Update oder Upgrade die ursprüngliche Software, für die Ihr Update oder Upgrade galt, nicht mehr benutzen, es sei denn, HP bestätigt Ihnen Abweichendes schriftlich. Nichts in diesem Vertrag berechtigt Sie, Updates, Upgrades oder Support zu dieser Software zu erwerben oder zu erhalten, und HP ist nicht verpflichtet, Ihnen einen solchen Support bereitzustellen. Updates, Upgrades, Erweiterungen oder anderer Support sind nur im Rahmen von separaten HP Supportverträgen verfügbar. Wenden Sie sich an HP, um mehr über Supportangebote von HP zu erfahren. HP behält sich das Recht vor, für Upgrades oder andere Verbesserungen der Software oder für die Nutzung der Software auf verbesserten Geräten zusätzliche Lizenzen und Gebühren zu verlangen.

e. Auf allen zulässigen Kopien oder Anpassungen müssen Sie alle urheberrechtlichen Hinweise reproduzieren, die in oder auf der Software (einschließlich der Dokumentation) erscheinen. Kopien der Dokumentation sind auf die interne Benutzung beschränkt.

f. Ungeachtet jeglicher ggf. gegenteiliger Bestimmungen in diesem Dokument gilt Folgendes: Wenn im Transaktionsdokument / in den Transaktionsdokumenten festgelegt ist, dass die Software auf einem anderen Bestimmten System oder anderen Bestimmten Systemen (siehe folgende Definition) benutzt werden darf, darf Ihre Lizenz zur Benutzung der Software auf das/die andere(n) Bestimmte(n) System(e) übertragen werden. Ein "Bestimmtes System" ist ein Computersystem, das sich in Ihrem Eigentum befindet oder das ausschließlich von Ihnen oder in Ihrem Namen kontrolliert oder bedient wird und das von HP durch die Kombination einer eindeutigen Nummer und eines speziellen Systemtyps näher bestimmt werden kann. Eine solche Lizenz endet, wenn die Systemnummer oder der Systemtyp sich ändert, das System ohne Befugnis an einen anderen Standort gebracht wird oder wenn das Bestimmte System sich nicht mehr in Ihrem Besitz oder unter Ihrer Kontrolle befindet.

g. Betriebssystem-Software darf nur benutzt werden, wenn die betreffende Hardware in Konfigurationen betrieben wird, die von HP oder einem HP Partner genehmigt, vertrieben oder nachträglich aufgerüstet wurde.

h. Die Software ist nicht für die Nutzung als Teil, Komponente oder Baugruppe bei Planung, Bau, Wartung oder Betrieb einer nuklearen Einrichtung ausgelegt, gefertigt oder gedacht. Bei Benutzung der Software in solchen Anwendungen sind ausschließlich Sie haftbar, und verteidigen HP gegen alle Verluste, Schäden, Kosten und Ansprüche im Zusammenhang mit einer derartigen Benutzung halten HP schadlos.

i Sie werden die Software nicht verändern, zurückentwickeln, disassemblieren, entschlüsseln, dekompilieren oder daraus Ableitungen anfertigen. Wo Sie andere Rechte haben, die gesetzlich zwingend vorgegeben sind, werden Sie HP angemessen detaillierte Informationen über die geplanten Veränderungen, die Rückentwicklung, Disassemblierung, Entschlüsselung oder Dekompilierung und deren Zweck bereitstellen.

j. Die Ausweitung der Nutzung der Software auf Personen oder Organisationen, bei denen es sich nicht um Sie handelt, im Rahmen von Dienstleistungen (z. B. das Bereitstellen der Software über kommerzielle Timesharing-Dienste oder Büroservice) muss vorher von HP schriftlich genehmigt werden und erfordert ggf. zusätzliche Lizenzen und Gebühren. Sie dürfen die Software nicht vertreiben, weiterverkaufen oder in Unterlizenz vergeben.

k. Ungeachtet ggf. gegenteiliger Bestimmungen in diesem Vertrag unterliegt die Lizenzierung von Bestandteilen der Software, bei der es sich um Zusatz-Software handelt, an Sie den Bestimmungen der für die jeweilige Zusatz-Software geltenden Lizenzvereinbarung, unabhängig von deren Form als eigenständiger Vertrag, Lizenzvereinbarung, die beim Öffnen der Verpackung in Kraft tritt, oder elektronischen Lizenzbestimmungen, zu denen der Lizenznehmer beim Herunterladen sein Einverständnis erklärt. Die Nutzung der Zusatz-Software durch Sie unterliegt ausschließlich den Bestimmungen der betreffenden Lizenz und bezüglich HP den Beschränkungen und Ausschlüssen in Abschnitt 3 und 5 des vorliegenden Vertrags. HP hat Zusatz-Software entweder durch Kennzeichnung des Eigentums des Lieferanten der Zusatz-Software innerhalb der jeweiligen Programmdatei der Zusatz-Software und/oder durch die Angabe von Lizenzinformationen in Textdateien wie "ancillary.txt" oder "readme" gekennzeichnet, die als Teil der Installation der Software bereitgestellt wird. Die Lizenzen zur Zusatz-Software sind ebenfalls in den genannten Textdateien dargelegt. Durch Akzeptieren der Bestimmungen dieses Vertrages akzeptieren Sie auch die Bestimmungen jeder einzelnen Lizenz der Zusatz-Software in den genannten Dateien. Wenn die Software Zusatz-Software enthält, die unter der GNU General Public License und/oder unter der GNU Lesser General Public License ("GPL Software") lizenziert ist, können Sie ein vollständiges, maschinenlesbares Exemplar des Source-Codes der GPL Software ("GPL Source Code") auf folgenden Wegen erhalten: (i) er ist Bestandteil der Ihnen ausgelieferten Software oder (ii) HP stellt Ihnen auf schriftliche Anfrage gegen Erstattung der Versandkosten ein vollständiges, maschinenlesbares Exemplar des GPL Source Code per Post zur Verfügung oder (iii) wenn Sie die Software durch Herunterladen von einer HP Website erhalten haben und keine der vorgenannten Optionen verfügbar sind, können Sie den GPL Source Code von derselben Website herunterladen. Informationen zur Form der schriftlichen Anfrage nach dem GPL Source Code finden Sie in der Datei ancillary.txt oder, wenn sich dort keine Adresse findet, auf der folgenden Website: www.hp.com.

HP garantiert nicht, dass der Betrieb der Software ununterbrochen oder fehlerfrei läuft oder dass die Software Ihren Anforderungen entspricht. In einigen Ländern/Gerichtsbarkeiten sind der Ausschluss von impliziten Garantien oder Beschränkungen hinsichtlich der Dauer von impliziten Garantien unzulässig. In diesem Fall gilt der oben genannte Ausschluss möglicherweise nicht in diesem Umfang für Sie.

WENN DIE SOFTWARE GEGEN ZAHLUNG EINER LIZENZGEBÜHR ÜBERLASSEN WIRD, GILT DIE FOLGENDE BESCHRÄNKTE HP HERSTELLERGARANTIE FÜR DIE SOFTWARE

a. HP Software weicht nicht wesentlich von den Spezifikationen ab. Wenn für die HP Software kein abweichender Zeitraum angegeben ist, beträgt der Garantiezeitraum neunzig (90) Tage ab Lieferdatum oder, wenn die Software von HP installiert wird, ab dem Datum der Installation. Wenn auf Ihre Veranlassung die Installation durch HP über dreißig (30) Tage nach der Auslieferung stattfindet, beginnt der Garantiezeitraum am 31. Tag nach der Lieferung. Diese beschränkte Herstellergarantie unterliegt den Bestimmungen und Beschränkungen der Garantieerklärung, die für die Software in demjenigen Land gilt, in dem sich die Software bei Erheben des Garantieanspruchs befindet.

b. HP gewährleistet, dass etwaige physische Medien, auf denen die HP Software gespeichert ist, virenfrei ausgeliefert werden.

c. HP garantiert nicht, dass der Betrieb der Software ohne Unterbrechungen und fehlerfrei ist oder dass die Software zusammen mit Hardware- und Softwarekombinationen funktioniert, die nicht ausdrücklich von HP in den Spezifikationen festgelegt wurden, oder dass die Software den von Ihnen spezifizierten Anforderungen entspricht.

d. HP ist nicht verpflichtet, Garantieleistungen oder Support für Ansprüche zu erbringen, die eine der folgenden Ursachen haben:

1. Ungenügende Vorbereitung des Standorts oder Standort- oder Umgebungsbedingungen, die nicht den Standortspezifikationen von HP entsprechen;

2. Nichteinhaltung der Spezifikationen durch Sie;

3. Unsachgemäße oder ungenügende Wartung oder Kalibrierung;

4. Medien, Software, Schnittstellen, Verbrauchsmaterial oder andere Produkte von Ihnen oder Drittherstellern;

5. Veränderungen, die nicht von HP durchgeführt oder genehmigt wurden;

6. Vireninfektionen, Würmer oder ähnliche bösartige Softwarecodes, die nicht von HP eingeschleppt wurden; oder

7. Unsachgemäße Verwendung, Vernachlässigung, Unfall, Verlust oder Beschädigungen auf dem Transport, Brand oder Wasserschaden, elektrische Störungen, Transporte durch Sie oder andere Ursachen, die von HP nicht beeinflussbar sind.

e. HP stellt Produkte, Software und Dienstleistungen Dritter, die nicht die Marke HP tragen, wie besehen und ohne jegliche HP Herstellergarantie zur Verfügung, wohingegen die Hersteller oder Drittlieferanten dieser Produkte, Software oder Dienstleistungen möglicherweise ihre eigenen Garantien geben.

f. Wenn HP während des Garantiezeitraums von einem Garantieanspruch in Kenntnis gesetzt wird, wird HP nach eigenem Ermessen entweder den Defekt in der HP Software beheben oder diese HP Software ersetzen. Wenn HP nicht in der Lage ist, in angemessener Zeit den Defekt zu beheben oder die HP Software zu ersetzen, haben Sie das Recht auf eine Rückerstattung des Kaufpreises bei sofortiger Rücksendung der Software an HP. Die Versandkosten bei der Rücksendung solcher Software an HP gehen zu Ihren Lasten. HP bezahlt die Versandkosten der reparierten oder ersetzten Software an Sie. Dieser Abschnitts 3.(ii) gibt die Haftung von HP für Ansprüche aus der HP Herstellergarantie abschließend wieder.

g. GARANTIEAUSSCHLUSS

IM GRÖSSTMÖGLICHEN UNTER ANWENDBAREM RECHT ZULÄSSIGEN UMFANG UND MIT AUSNAHME DER IN ABSCHNITT 3.(II) A UND B FESTGELEGTEN PUNKTE ÜBERLASSEN HP UND DESSEN LIEFERANTEN DIE SOFTWARE WIE BESEHEN UND OHNE GARANTIE AUF FEHLERFREIHEIT UND SCHLIESSEN HIERMIT ALLE ANDEREN GARANTIEN, MÄNGELANSPRÜCHE UND ENTSCHÄDIGUNGEN AUS, GLEICH OB AUSDRÜCKLICH, IMPLIZIT ODER GESETZLICH, INSBESONDERE GARANTIE ODER GEWÄHRLEISTUNG VON EIGENTUMSRECHT, NICHTVERLETZUNG VON RECHTEN DRITTER, IMPLIZITE GARANTIEN, VERPFLICHTUNGEN ODER BEDINGUNGEN DER HANDELSÜBLICHEN NUTZBARKEIT, DER EIGNUNG FÜR EINEN BESTIMMTEN ZWECK UND DER VIRENFREIHEIT. In einigen Ländern/Gerichtsbarkeiten sind der Ausschluss von impliziten Garantien oder Beschränkungen hinsichtlich der Dauer von impliziten Garantien unzulässig. In diesem Fall gilt der oben genannte Ausschluss möglicherweise nicht in diesem Umfang für Sie.

4. VERLETZUNG VON SCHUTZRECHTEN AN GEISTIGEM EIGENTUM DURCH SOFTWARE, DIE GEGEN LIZENZGEBÜHR ÜBERLASSEN WIRD:

a. Wenn die Software Ihnen gegen eine Lizenzgebühr überlassen wurde, wird HP alle etwa gegen Sie gerichteten Ansprüche wegen Verletzung der Rechte an geistigem Eigentum durch die im Rahmen dieses Vertrags überlassener HP Softwareprodukte in dem Land, in dem diese verkauft wurden, abwehren oder befriedigen, wenn Sie:

1. HP sofort schriftlich von einem solchen Anspruch benachrichtigen;

2. mit HP bei der Abwehr des Anspruchs zusammenarbeiten; und

3. HP die alleinige Handhabe in der Abwehr oder Befriedigung des Anspruchs einräumen.

HP trägt die Kosten des Verfahrens zur Abwehr des Anspruchs, von HP verhandelte Vergleichskosten und vom Gericht auferlegte Schadensersatzzahlungen.

b. Für den Fall, dass ein solcher Anspruch wahrscheinlich erscheint, kann HP die HP Softwareprodukte abändern, die notwendigen Lizenzen beschaffen oder das betroffene Element gegen eines austauschen, das zumindest funktional gleichwertig ist. Sollte HP feststellen, dass keine dieser Alternativen mit angemessenem Aufwand erreichbar ist, erstattet Ihnen HP innerhalb eines Jahres nach Auslieferung den Kaufpreis für das betroffene Element oder danach Ihren Nettobuchwert.

c. HP hat keine Verpflichtungen bei Ansprüchen wegen Rechtsverletzung, die entstehen durch:

1. Befolgung von Entwürfen, Spezifikationen, Instruktionen oder technischen Informationen von Ihnen oder Dritten;

2. von Ihnen oder Dritten vorgenommene Veränderungen;

3. Nichteinhaltung der in Abschnitt 2 beschriebenen Spezifikationen oder Dokumentationen durch Sie; oder

4. Verwendung der Software zusammen mit Produkten, Software oder Dienstleistungen, die nicht die Marke HP tragen durch Sie.

d. Über die Bestimmungen im vorliegenden Abschnitt 4 hinaus haftet HP nicht bei Ansprüchen wegen Verletzung der Rechte an geistigem Eigentum durch die gegen Lizenzgebühr bereitgestellte Software.

5. HAFTUNGSBESCHRÄNKUNG

Ungeachtet von Schäden, die Ihnen entstehen, und mit Ausnahme von Schäden durch Körperverletzung (einschließlich Tod) und der in Abschnitt 4.a genannten Beträge ist die gesamte Haftung von HP und dessen Lieferanten von Schäden verursacht durch die Software oder unter dem vorliegenden Lizenzvertrag und Ihr ausschließlicher Anspruch für alle genannten Schäden auf den höchsten der folgenden Beträge beschränkt: den tatsächlich von Ihnen separat für die Software entrichteten Preis oder 5,00 USD. DIE HAFTUNG VON HP ODER DESSEN LIEFERANTEN FÜR SPEZIELLE, ZUFÄLLIGE, INDIREKTE ODER FOLGESCHÄDEN JEDER ART (INSBESONDERE SCHÄDEN DURCH ENTGANGENEN GEWINN ODER UMSATZ, DURCH GESCHÄFTSUNTERBRECHUNG, GERÄTEAUSFALL, NICHT ERZIELBARE EINSPARUNGEN, DURCH VERLUST, ÖFFENTLICHWERDUNG, NICHTVERFÜGBARKEIT ODER BESCHÄDIGUNG VON DATEN, DURCH SOFTWAREWIEDERHERSTELLUNG, DURCH VERLUST DES SCHUTZES PERSONENBEZOGENER DATEN) AUS ODER IM ZUSAMMENHANG MIT DER NUTZUNG ODER UNMÖGLICHKEIT DER NUTZUNG DER SOFTWARE ODER ANDERWEITIG IN ZUSAMMENHANG MIT BESTIMMUNGEN DIESES LIZENZVERTRAGS WIRD IM GRÖSSTMÖGLICHEN DURCH DAS ANWENDBARE RECHT ZULÄSSIGEN UMFANG AUSGESCHLOSSEN. DIES GILT AUCH DANN, WENN HP ODER DESSEN LIEFERANTEN ÜBER DIE MÖGLICHKEIT SOLCHER SCHÄDEN INFORMIERT WAREN, UND SELBST WENN DIE ERSTATTUNG IHREN WESENTLICHEN ZWECK VERFEHLT. Einige Länder/Rechtsordnungen lassen den Ausschluss oder die Beschränkung von zufälligen oder Folgeschäden nicht zu. In diesem Fall gelten die oben genannten Beschränkungen oder Ausschlüsse für Sie möglicherweise insoweit nicht.

6. VERTRAGSENDE

Dieser Vertrag behält so lange seine Gültigkeit, bis er gekündigt oder abgelehnt wird. Ungeachtet des zuvor Gesagten kommt es außerdem auch dann zu einer Beendigung des vorliegenden Lizenzvertrags, wenn an anderer Stelle dieses Lizenzvertrags genannte Bedingungen hierfür vorliegen oder wenn Sie gegen Bestimmungen dieses Lizenzvertrags verstoßen. Bei einer Beendigung müssen Sie sofort die Software und alle Kopien der Software zerstören oder an HP zurücksenden. Sie dürfen bei Vertragsbeendigung eine Kopie der Software behalten, jedoch nur zu Archivierungszwecken. HP ist berechtigt zu verlangen, dass Sie HP gegenüber die Einhaltung dieser Bestimmungen schriftlich bestätigen. Abschnitte 3.(i), 3.(ii) g, 5, 6 und 7 dieses Vertrags bleiben auch nach seiner Beendigung in Kraft.

7. ALLGEMEINES

a. Sie dürfen diesen Vertrag ohne vorherige schriftliche Zustimmung von HP, Zahlung entsprechender Gebühren an HP und Einhaltung der Lizenzübertragungsrichtlinien von HP und geltender Lizenzbestimmungen Dritter weder ganz noch teilweise übertragen, unterlizenzieren, delegieren oder anderweitig transferieren ("übertragen"). Jeglicher Versuch einer solchen Übertragung ist nichtig. Bei einer genehmigten Übertragung in Übereinstimmung mit diesem Abschnitt enden Ihre Rechte aus diesem Vertrag, und Sie übergeben die Software und alle Kopien sofort dem Empfänger der Übertragung. Der Empfänger der Übertragung muss den Bestimmungen dieses Vertrages schriftlich zustimmen und tritt danach an die Stelle der mit "Sie" angeredeten Person dieses Vertrags. Firmware dürfen Sie nur bei Übertragung der dazugehörigen Hardware übertragen.

b. Wenn die Software für die Verwendung bei der Erfüllung eines "Prime Contract" oder Subvertrages mit Behörden der USA lizenziert ist, stimmen Sie zu, dass in Übereinstimmung mit FAR 12.211 und 12.212 kommerzielle Computersoftware, Computersoftware-Dokumentation und technische Daten für kommerzielle Artikel unter der kommerziellen Standardlizenz von HP lizenziert werden.

c. Falls und soweit Sie die unter diesem Vertrag lizenzierte oder bereitgestellte Software, Technologie oder technischen Daten exportieren, reexportieren oder importieren, übernehmen Sie die alleinige Verantwortung dafür, dass dabei alle geltenden Gesetze und Bestimmungen eingehalten und alle erforderlichen Export- und Importgenehmigungen eingeholt werden. HP darf seine Leistungen einstellen, wenn Sie gegen geltende Gesetze oder Bestimmungen verstoßen.

d. Sie stimmen zu, dass HP die Einhaltung dieses Vertrags durch Sie überprüft. Solche Überprüfungen unternimmt HP auf eigene Kosten, werden mit angemessenem zeitlichem Vorlauf angekündigt und finden während der normalen Büroöffnungszeiten statt. Sollte eine Prüfung ergeben, dass Sie zu wenig Gebühren bezahlen oder bezahlten, leisten Sie die ausstehenden Zahlungen sofort an HP zusammen mit einer angemessenen Erstattung der Kosten, die HP für die Prüfung und die Durchsetzung der Einhaltung des vorliegenden Abschnitts verauslagt hat.

e. Dieser Vertrag unterliegt den Gesetzen des US-Bundesstaates Kalifornien, unter Ausschluss der Regelung zu Rechtswahl und Kollissionregelungen. Sie und HP vereinbaren, dass das Übereinkommen der Vereinten Nationen über Verträge für den internationalen Warenverkauf für diesen Vertrag nicht gilt.

f. Vorbehaltlich der anderen Bestimmungen dieses Vertrages gilt, dass dieser Vertrag der einzige Vertrag zwischen HP und Ihnen über Ihre Benutzung der Software ist und sämtliche vorhergehenden Vereinbarungen oder Verträge oder Ihre zusätzlichen oder damit unvereinbaren Bestimmungen dadurch ersetzt werden, seien sie mündlicher oder schriftlicher Form. Sollte eine Bestimmung des vorliegenden Vertrags unwirksam oder undurchsetzbar sein, bleibt der übrige Vertrag weiterhin rechtskräftig und davon nicht betroffen.

g. Sollte HP seine aus diesem Vertrag erwachsenden Rechte nicht oder verspätet ausüben, so stellt dies keinen Rechtsverzicht oder Rechtsverlust dar und darf auch nicht als solcher ausgelegt werden.

LA DESCARGA, LA INSTALACIÓN, LA COPIA, EL ACCESO O LA UTILIZACIÓN DEL SOFTWARE, ASÍ COMO LA SELECCIÓN DE LA OPCIÓN "ACEPTO" SITUADA EN LA PANTALLA EN LA QUE SE MUESTRA EL PRESENTE CONTRATO O EN LA PANTALLA SIGUIENTE SUPONE LA ACEPTACIÓN DE LOS TÉRMINOS Y CONDICIONES DEL PRESENTE CONTRATO, DE CUALQUIER DECLARACIÓN DE GARANTÍA APLICABLE Y DE LOS TÉRMINOS Y CONDICIONES CONTENIDOS EN EL "SOFTWARE COMPLEMENTARIO" (según se define más adelante). LA ACEPTACIÓN DE ESTOS TÉRMINOS EN NOMBRE DE OTRA PERSONA, EMPRESA O ENTIDAD LEGAL SUPONE LA DECLARACIÓN Y LA GARANTÍA DE QUE USTED DISPONE DE TOTAL AUTORIDAD PARA VINCULAR A ESA PERSONA FÍSICA, EMPRESA U ENTIDAD LEGAL EN ESTOS TÉRMINOS. SI NO ESTÁ DE ACUERDO CON ESTOS TÉRMINOS, NO DESCARGUE, INSTALE, COPIE, ACCEDA O UTILICE EL SOFTWARE. DEVUÉLVALO INMEDIATAMENTE CON EL COMPROBANTE DE COMPRA AL VENDEDOR Y SOLICITE LA DEVOLUCIÓN DEL DINERO. SI HA DESCARGADO EL SOFTWARE, PÓNGASE EN CONTACTO CON EL RESPONSABLE A TRAVÉS DEL CUAL LO ADQUIRIÓ.

NÚMERO DE DISPOSITIVOS:

1. TÉRMINOS GENERALES

a. Usted y Su/Sus hacen referencia a una persona física o a una persona jurídica.

b. HP hace referencia a Hewlett-Packard Company o a una de sus filiales.

c. Marca HP hace referencia a los productos de software que lleven incorporada la marca comercial o de servicio de Hewlett-Packard Company o de cualquier filial de Hewlett-Packard Company, así como al software integrado de terceros seleccionado por HP que no se oferte al amparo de un contrato de licencia de terceros.

d. Software hace referencia a las instrucciones y datos (y copias de éstos) que puede leer una máquina, entre los que se incluyen el middleware y las correspondientes actualizaciones y mejoras para las que Usted disponga de autorización por separado, los materiales autorizados mediante licencia, la documentación de usuario, los manuales de usuario y los procedimientos operativos. Software complementario hace referencia a todas y cada una de las partes del Software proporcionado en virtud de los términos de licencias públicas, de Open Source o de terceros.

e. Especificación hace referencia a la información técnica acerca de los productos de Software publicados en los manuales de productos de HP, la documentación de usuario y las hojas de datos técnicos vigentes en la fecha en que HP le haga entrega de los productos de Software.

f. Documento(s) de transacción hace referencia a un pedido del cliente aceptado por HP (excluidos los términos pre-impresos) y, en relación con dicho pedido, las ofertas validas de HP así como las facturas o certificados de licencia de uso igualmente válidos de HP.

2. TÉRMINOS DE LA LICENCIA Y RESTRICCIONES

a. En virtud de los términos y condiciones del presente Contrato y del pago del precio de licencia aplicable, HP le otorga una licencia, no exclusiva ni transferible (según se define más adelante,) de uso en formato de código objeto de una copia del Software para un solo dispositivo cada vez y para Sus fines empresariales internos, a menos que se indique lo contrario más arriba o en los Documentos de transacción aplicables. Utilizar significa instalar, almacenar, cargar, ejecutar y mostrar el Software de conformidad con las Especificaciones. La utilización del Software por Su parte está sujeta a los términos de la licencia y demás restricciones especificadas por HP en cualquier otro documento electrónico entregado o que de otro modo le haya sido proporcionado con el Software o en el momento de la adquisición de éste, entre los que se incluyen los términos de la licencia, las declaraciones de garantías, las Especificaciones y los archivos “readme” o informativos de otro tipo que se incluyan en el propio Software. Dichas restricciones se incorporan por referencia al presente Contrato. Es posible que el Software necesite claves de licencia o contenga otras medidas de protección técnicas. Usted reconoce que HP puede supervisar el cumplimiento de las restricciones de uso por su parte de forma remota o de otra forma. Si HP pone a Su disposición un programa de gestión de la licencia que registra e informa del uso de ésta, Usted aceptará instalar, configurar y ejecutar de forma adecuada dicho programa de gestión de la licencia, no más tarde de ciento ochenta (180) días después de la fecha en que recibió el programa y de forma continuada durante el periodo en que se utiliza el Software.

b. El presente contrato no confiere titularidad o derecho de propiedad alguno y no supone venta de derechos sobre el Software. Los terceros proveedores quedan amparados por el presente Contrato y podrán proteger de forma independiente sus derechos sobre el Software en caso de vulneración de los mismos. HP y sus proveedores se reservan, de forma exclusiva, todos los derechos que no se le conceden a Usted expresamente. No deberá interpretarse el contenido del presente Contrato como la concesión a Usted, por implicación, exclusión u otra forma, de una licencia relativa al Software distinta de lo estipulada expresamente en la presente sección 2.

c. A menos que HP permita lo contrario, Usted (a) sólo podrá realizar copias o adaptaciones del Software con fines de archivo o cuando la copia o adaptación represente un paso fundamental en la utilización autorizada del Software en un dispositivo de copia de seguridad, siempre y cuando las copias y adaptaciones no se utilicen de ninguna otra forma, y la utilización en el dispositivo de copia de seguridad se interrumpa cuando el dispositivo original o el de sustitución vuelva a estar operativo y (b) no podrá copiar el Software, ni utilizarlo de otra forma u ofrecerlo, a través de una red pública o de distribución externa .

d. Para utilizar el Software identificado como una actualización o nueva versión, Usted en primer lugar, deberá disponer de autorización para la utilización del software original identificado por HP como adecuado para la actualización o la nueva versión. Si la actualización o la nueva versión están pensadas para sustituir al software original, después de actualizar o adquirir la nueva versión, Usted no podrá utilizar el software original que conformaba la base para la idoneidad de la actualización o la nueva versión, a menos que HP indique lo contrario por escrito. El presente Contrato no le otorga ningún derecho para adquirir o recibir actualizaciones y nuevas versiones del Software o soporte y HP no está obligado en modo alguno a facilitarle dicho soporte. Las actualizaciones, nuevas versiones, mejoras u otro tipo de soporte solo están disponibles en virtud de un contrato específico de soporte HP. Usted puede ponerse en contacto con HP para obtener más información acerca de las ofertas de soporte HP disponibles. HP se reserva el derecho de solicitar otras licencias y precios adicionales para las nuevas versiones del Software u otras mejoras, así como para la utilización del Software en dispositivos actualizados.

e. Usted se obliga a reproducir todos los avisos de derechos de autor que aparecen en el Software (incluida la documentación) en todas las copias o adaptaciones permitidas. Las copias de la documentación podrán emplearse exclusivamente para uso interno.

f. Sin perjuicio de lo estipulado en el presente Contrato, si los Documentos de transacción reconocen que el Software se puede utilizar en otro(s) sistema(s) designado(s) (según se define más abajo), su licencia de uso podría transferirse a otros sistemas designados. Un “sistema designado” es un sistema informático que usted posee, controla y utiliza de forma exclusiva, o que otra persona utiliza en su nombre, y que HP puede identificar mediante la combinación de un número exclusivo y un tipo de sistema específico. Dicha licencia terminará en caso de un cambio en el número de sistema o en el tipo de sistema, de una reubicación no autorizada o si el sistema designado deja de pertenecerle a Usted o Usted deja de controlarlo.

g. El software de sistema operativo sólo se puede utilizar para operar el hardware asociado en las configuraciones que apruebe, venda o con posterioridad mejore HP o un distribuidor autorizado de HP.

h. El Software no está específicamente diseñado, fabricado o pensado para utilizarse como una parte, componente o unidad para la planificación, la construcción, el mantenimiento o el funcionamiento directo de una instalación nuclear. Usted tendrá la responsabilidad exclusiva en caso de que el Software se utilice para dichas aplicaciones e indemnizará a HP por cualquier pérdida, daño, gasto o responsabilidad derivados de dicho uso.

i Usted no modificará, aplicará procesos de ingeniería inversa, desmontará, decodificará, descompilará o creará obras derivadas del Software. En caso de que Usted posea otros derechos derivados de la ley, facilitará a HP información suficientemente detallada relativa a las modificaciones pretendidas, la ingeniería inversa, el desmontaje, la decodificación o la descompilación y los fines que persigue.

j. Necesita la previa autorización por escrito de HP, si Usted tiene intención de ampliar el uso del Software a otra persona o entidad como parte de una actividad de prestación de servicios (por ejemplo ofrecer el Software mediante el uso de ordenadores en tiempo compartido –timesharing- o a través de una oficina de servicios). HP podrá solicitarle la obtención de licencias y el pago de un precio adicional. No está permitida la distribución, reventa o la concesión de sublicencias del Software.

k. Sin perjuicio de lo estipulado en el presente Contrato, la licencia del software o cualquier porción del software complementario se le otorgará con sujeción a los términos y condiciones de la licencia del Software que se adjunta a dicho Software complementario, sea en la forma de un contrato diferente, en la forma de licencia “shrink wrap” (licencia de aceptación de términos al abrir el software) o en la forma de términos de licencia electrónica aceptados en el momento de la descarga del software. El uso del Software complementario por su parte estará totalmente sujeto a los términos y condiciones de dicha licencia y, en lo relativo a HP, por las limitaciones y exenciones de responsabilidad de las secciones 3 y 5 del presente Contrato. HP ha identificado el Software complementario bien mediante una anotación de la propiedad del suministrador del Software complementario dentro de cada uno de los ficheros de programa de Software complementario o bien proporcionando información en los archivos “ancillary.txt” o “readme” que se suministran como parte de la instalación del Software. Asimismo, las términos de la licencias de Software complementario se establecen en el archivo “ancillary.txt” o “readme”. Mediante la aceptación de los términos y condiciones del presente Contrato, Usted también acepta los de las licencias de Software complementario que se incluyen en el archivo “ancillary.txt” o “readme”. Si el Software incluye el Software complementario distribuido en virtud de la Licencia pública general GNU, o de la Licencia pública general menor GNU (en adelante, "Software GPL") usted recibirá una copia completa legible por máquina del código fuente del software GPL (en adelante, “Código fuente GPL”): (i) adjunta al propio software que se le entrega; o (ii) HP se la remitirá por correo, tras el pago de un precio que cubra el coste de envío si usted lo solicita por escrito o (iii) si Usted obtuvo el Software descargándolo de la página web de HP y ninguna de las opciones anteriores se encuentra disponible, es posible que deba descargar el Código fuente GPL de la misma página web. Puede encontrar información acerca de cómo realizar una solicitud por escrito del Código fuente GPL en el archivo ancillary.txt o, si el archivo no recoge ninguna dirección, en la siguiente página web: www.hp.com.

TAMPOCO GARANTIZA LA COMERCIABILIDAD O IDONEIDAD PARA UN FIN PARTICULAR Y CONCRETO, LA AUSENCIA DE VIRUS, LA TITULARIDAD NI ASUME RESPONSABILIDAD ALGUNA POR INFRACCIONES DE PROPIEDAD INTELECTUAL. HP no garantiza que el funcionamiento del Software sea ininterrumpido o libre de errores, ni que el Software cumplirá Sus requerimientos específicos. El Software Marca HP se ajustará materialmente a las Especificaciones. Si no se especifica un periodo de garantía para el Software Marca HP, el periodo de garantía será de noventa (90) días a partir de la fecha de entrega o de la fecha de instalación, en caso de que HP realice la instalación. Si Usted programa o retrasa la instalación por parte de HP más de treinta (30) días tras la entrega, el periodo de garantía comenzará el día 31 después de la entrega. La presente garantía limitada estará sujeta a los términos, limitaciones y exclusiones contenidos en la declaración de garantía limitada proporcionada para el Software en el país en el que el Software se encuentre cuando se presente la reclamación de garantía.

b. HP garantiza que cualquier soporte físico que contenga Software de la Marca HP se entregará libre de virus.

c. HP no garantiza que el funcionamiento del Software sea ininterrumpido o esté libre de errores, ni que el Software funcione en combinaciones de hardware y software distintas de las requeridas expresamente por HP en las Especificaciones. Tampoco garantiza que el Software cumpla los requisitos especificados por Usted.

d. HP no está obligado a proporcionar servicios de garantía o soporte en caso de reclamaciones derivas de:

1. La Preparación inadecuada del emplazamiento, o condiciones medioambientales o del emplazamiento que no cumplan las especificaciones de HP.

2. El incumplimiento de las Especificaciones por Su parte.

3. Un mantenimiento o una calibración inadecuados.

4. Soportes, software, interfaces, suministros u otros productos de su titularidad o de terceros.

5. Modificaciones no realizadas o autorizadas por HP.

6. Virus, plagas, gusanos o código malintencionado de otro tipo no introducido por HP.

7. Uso abusivo, negligencias, accidentes, pérdidas o daños ocasionados durante el trasporte, así como los daños provocados por fuego o agua, alteraciones del suministro eléctrico o transporte por parte del Usted, u otras causas que escapen al control de HP.

e. HP proporciona los productos de terceros así como el software y los servicios que no pertenecen a la Marca HP “en el estado en que se encuentran en el momento de la entrega” sin garantías de ningún tipo. No obstante lo anterior, los fabricantes originales o los terceros proveedores de productos, software y servicios puedan ofrecer sus propias garantías.

f. Si recibe una reclamación válida durante el periodo de garantía, HP podrá decidir, a su elección, si corregir el defecto del Software de la Marca HP o sustituir dicho Software. Si HP no es capaz, en un tiempo razonable, de completar la corrección o sustituir el Software, Usted tendrá derecho a la devolución del precio de compra tras la devolución del Software a HP. Usted soportará los gastos de la devolución del Software a HP. HP pagará los gastos de transporte del Software reparado o sustituido. La presente sección 3.(ii) f establece la responsabilidad total de HP por reclamaciones relativas a garantía.

g. EXCLUSIÓN DE GARANTÍAS

EN LA MEDIDA EN QUE LO PERMITA LA LEY APLICABLE, Y SALVO LO EXPRESAMENTE GARANTIZADO EN LA SECCIÓN 3 (ii) a y b ANTERIOR, HP Y SUS PROVEEDORES SUMINISTRARÁN EL SOFTWARE “EN EL ESTADO EN QUE SE ENCUENTRE" Y CON TODOS SUS FALLOS. EN ESTE SENTIDO HP NO ASUME NINGUNA RESPONSABILIAD POR DAÑOS, NI COMPROMISO ALGUNO DE GARANTÍA VERBAL O ESCRITA, EXPRESA O IMPLÍCITA. TAMPOCO GARANTIZA LA COMERCIABILIDAD O IDONEIDAD PARA UN FIN PARTICULAR Y CONCRETO, LA AUSENCIA DE VIRUS, NI LA TITULARIDAD NI ASUME RESPONSABILIDAD ALGUNA POR INFRACCIONES DE PROPIEDAD INTELECTUAL. Algunos estados o jurisdicciones no permiten la exclusión de garantías implícitas o las limitaciones sobre la duración de éstas; por esta razón, puede que la denegación de garantías anterior no se aplique íntegramente en Su caso.

INCUMPLIMIENTO DE LA PROPIEDAD INTELECTUAL PARA EL SOFTWARE PROPORCIONADO CON UN CANON DE LICENCIA

a. En caso de que se le haya suministrado el Software previo pago del importe de la licencia, HP defenderá judicialmente o transará extrajudicialmente cualesquiera reclamaciones frente a Usted que se funden en el hecho de que los productos de Software de la Marca HP suministrados en virtud del presente Contrato infringen los derechos de propiedad intelectual en el país en que fueron vendidos, todo ello siempre y cuando Usted:

1. Notifique inmediatamente y por escrito dicha reclamación a HP.

2. Coopere con HP en la defensa o transacción de la reclamación.

3. Concede a HP control exclusivo sobre la defensa o transacción.

HP correrá con los gastos derivados de tales procedimientos, así como con los importes transaccionales negociados por HP y con los daños y perjuicios a los que pueda ser condenado por tribunal competente.

b. Si dicha reclamación pareciera probable, HP podrá optar entre modificar los productos de Software Marca HP, obtener cualquier licencia que sea necesaria o sustituir el producto afectado por otro que sea al menos funcionalmente equivalente. Si HP considera que ninguna de estas alternativas esta razonablemente a su alcance, le reembolsará el precio que abonó por el producto si todavía no ha transcurrido un año desde la entrega o, habiendo transcurrido dicho periodo, el valor neto contable del producto.

c. HP no será responsable en el caso de reclamaciones por infracciones que tengan su origen en:

1. El cumplimiento por parte de HP con los diseños, especificaciones, instrucciones o información técnica de Usted o de terceros;

2. Las modificaciones realizadas por Usted o por un tercero.

3. El incumplimiento de las Especificaciones o la documentación descrita en la sección 2. a. anterior.

4. El uso por Su parte de productos, software o servicios que no sean de la Marca HP.

d. La presente sección 4 establece la responsabilidad total de HP por reclamaciones derivadas de infracciones de los derechos de propiedad intelectual para el Software suministrado previo pago del importe de la licencia.

LIMITACIÓN DE RESPONSABILIDAD Y RECURSOS

Sin perjuicio de la responsabilidad en que Usted pudiera incurrir por daños a las personas o en virtud de lo establecido en la sección 4.a anterior, la responsabilidad total de HP y de cualquiera de sus proveedores, en la medida en que sea/n declarado/s legalmente responsable/s frente a Usted, estará limitada al precio abonado por Usted por el Software objeto de reclamación o a 5 dólares USA, cualquiera que sea la cantidad mayor. EN NINGÚN CASO HP O SUS PROVEEDORES SERÁN RESPONSABLES DE LOS DAÑOS Y PERJUICIOS ESPECIALES, INCIDENTALES, INDIRECTOS O CONSECUENCIALES DE CUALQUIER TIPO, INCLUIDOS A TITULO ENUNCIATIVO PERO NO LIMITATIVO, LOS DAÑOS Y PERJUICIOS DERIVADOS DE LA PÉRDIDA DE BENEFICIOS O INGRESOS, LA INTERRUPCIÓN DEL NEGOCIO, LOS COSTES DEL TIEMPO DE INACTIVIDAD, LA INCAPACIDAD DE OBTENER LOS AHORROS PREVISTOS, LA PÉRDIDA, DIVULGACIÓN, NO DISPONIBILIDAD O DAÑOS RELATIVOS A LOS DATOS, LA RESTAURACIÓN DEL SOFTWARE O LA PÉRDIDA DE CONFIDENCIALIDAD DERIVADA O RELACIONADA CON EL USO O LA INCAPACIDAD DE USO DEL SOFTWARE O RELACIONADA DE OTRA FORMA CON CUALQUIER CLÁUSULA DEL PRESENTE CONTRATO.

Las anteriores limitaciones de responsabilidad no serán de aplicación cuando (1) sean contrarias a las normas de derecho necesario relativas a la responsabilidad del fabricante por productos defectuosos que pudieran resultar de aplicación, y en particular a la Ley 22/1994 de 6 de Julio (2) cuando la responsabilidad derive de dolo o de la culpa grave de tal naturaleza que deba equipararse a aquel

6. TERMINACIÓN

El presente Contrato permanecerá en vigor hasta que expire o alguna de las partes renuncie al mismo. Sin perjuicio de lo anterior, el presente Contrato terminará también de conformidad con lo establecido en cualquier otra sección del presente Contrato o si Usted incumple algún término o condición del mismo. Inmediatamente después de la terminación del Contrato, Usted destruirá el Software y todas sus copias o lo devolverá a HP. Sólo podrá conservar una copia del Software después de la terminación del Contrato a efectos de archivo. Si HP así lo solicita, Usted certificará por escrito a HP el cumplimiento de dichos requisitos. Las secciones 3.(i), 3.(ii) g, 5, 6 y 7 del presente Contrato continuarán vigentes tras la terminación del mismo.

INFORMACIÓN GENERAL

a. Usted no podrá ceder, sublicenciar, delegar ni transferir de ningún otro modo (en adelante, “Ceder”) la totalidad o parte del presente Contrato sin el previo consentimiento por escrito de HP, el pago a HP de cualquier cantidad aplicable y el cumplimiento de las políticas de transferencia de licencia del Software de HP, así como de los términos de licencia de terceros. Cualquier intento de cesión sin el cumplimiento de tales requisitos será nulo de pleno derecho. En caso de que se produzca una cesión autorizada en virtud de la presente sección, los derechos que para usted se derivan del presente Contrato expirarán y Usted entregará de forma inmediata el Software y todas sus copias al Cesionario. El Cesionario debe aceptar por escrito los términos del presente Contrato, y el beneficiario será considerado “Usted” a efectos del presente Contrato. Usted sólo puede transferir el firmware si transfiere el hardware asociado.

b. Si el Software se licencia para su uso en la ejecución de un contrato o subcontrato con el Gobierno estadounidense, Usted acepta que, de conformidad con la normativa FAR 12.211 y 12.212, las licencias del Software informático comercial, la documentación del software informático y los datos técnicos para elementos comerciales se licencian en virtud de la licencia comercial estándar de HP.

c. En caso de que exporte, re-exporte o importe Software, tecnología o datos técnicos licenciados o proporcionados en virtud del presente Contrato, Usted asumirá la plena responsabilidad relativa al cumplimiento de las leyes y regulaciones aplicables y a la obtención de las autorizaciones de exportación e importación requeridas. HP puede suspender la ejecución si Usted infringe cualquiera de las leyes o regulaciones aplicables.

d. Usted acepta que HP realice una auditoria con el fin de examinar el cumplimiento del presente Contrato. Los gastos derivados de dicha auditoria correrán por cuenta de HP. Dicha auditoría deberá comunicarse con una antelación razonable y realizarse en horario laboral normal. Si una auditoria detecta irregularidades en el pago, Usted deberá abonar inmediatamente a HP la cantidad impagada junto con los costes razonables en los que incurra HP al realizar la auditoria y con el objetivo de cumplir lo establecido en esta sección.

e. El presente Contrato se regirá y será interpretado de conformidad con la legislación española excluyendo expresamente las normas de conflicto que pudieran resultar de aplicación. Las partes, con renuncia expresa a su fuero propio, si lo tuvieren, se someten a la jurisdicción de los juzgados y tribunales de Madrid Capital para la resolución de cuantas cuestiones litigiosas pudieran suscitarse en relación con la interpretación y ejecución del presente Contrato. Usted y HP aceptan que la Convención de las Naciones Unidas sobre la compraventa internacional de mercancías no se aplique al presente Contrato.

f. Este Contrato constituye el acuerdo íntegro entre HP y Usted en relación con el uso del Software por Su parte y sustituye cualquier comunicación, representación o acuerdo previos, así como Sus términos adicionales o contradictorios, ya sean orales o escritos. En caso de que alguna cláusula del presente Contrato sea considerada nula o no exigible, el resto del Contrato seguirá siendo exigible y no se verá afectado por dicha circunstancia.

g. La decisión de HP de no hacer uso de cualquiera de los derechos reconocidos por el presente Contrato, o la demora por parte de HP en hacer uso de los mencionados derechos, no constituirá, ni deberá entenderse como una renuncia o revocación de dichos derechos.

CONTRAT DE LICENCE UTILISATEUR FINAL

SI VOUS ACCEPTEZ CES CONDITIONS POUR LE COMPTE D'UNE AUTRE PERSONNE PHYSIQUE, D'UNE SOCIÉTÉ OU DE TOUTE AUTRE PERSONNE MORALE, VOUS DÉCLAREZ ET GARANTISSEZ AVOIR PLEINE AUTORITÉ POUR ENGAGER CETTE PERSONNE PHYSIQUE, SOCIÉTÉ OU PERSONNE MORALE. EN CAS DE DÉSACCORD AVEC CES CONDITIONS, VEUILLEZ NE PAS TÉLÉCHARGER, INSTALLER, COPIER, ACCEDER À OU UTILISER LE LOGICIEL ET RETOURNEZ-LE RAPIDEMENT ACCOMPAGNÉ DE LA PREUVE D'ACHAT CORRESPONDANTE AU FOURNISSEUR AUPRÈS DUQUEL VOUS L'AVEZ ACHETÉ AFIN D'OBTENIR LE CAS ECHEANT UN REMBOURSEMENT. SI VOUS L'AVEZ TÉLÉCHARGÉ, CONTACTEZ LE FOURNISSEUR AUPRÈS DUQUEL VOUS VOUS L'ÊTES PROCURÉ.

QUANTITÉ :

1. DEFINITIONS

a. Les expressions Vous et Votre/Vos désignent soit une personne physique, soit une personne morale.

b. HP désigne Hewlett-Packard Company ou l'une de ses filiales.

c. Logiciel HP désigne les Logiciels portant une marque commerciale ou de service de Hewlett-Packard Company ou de l'une de ses filiales, ainsi que les Logiciels tiers intégrés sélectionnés par HP qui ne font pas l'objet d'un contrat de licence tiers.

d. Logiciel désigne les instructions et données en langage machine (ainsi que leurs copies), y compris les middleware et les mises à niveau et mises à jour associées que Vous pouvez être autorisé à recevoir séparément, les supports concédés sous licence, la documentation utilisateur, les manuels utilisateur et les procédures de fonctionnement. "Logiciel Annexe" désigne tout ou partie du Logiciel fourni sous licence publique, licence open source ou licence d’une tierce partie.

e. Spécifications désignent les informations techniques relatives aux Logiciels publiées dans les manuels HP, la documentation utilisateur et les fiches techniques en vigueur à la date à laquelle HP Vous fournit les Logiciels.

f. Document(s) Contractuel(s) désigne une commande client acceptée par HP (à l'exclusion des conditions générales d’achat pré-imprimées) ainsi que les devis ou la proposition commerciale HP en vigueur en relation avec cette commande, la licence d'utilisation des certificats ou les factures.

CONDITIONS DE LICENCE ET RESTRICTIONS DE LA LICENCE

a. Conformément aux termes et conditions du présent Contrat et sous réserve du paiement de la redevance de licence applicable, HP Vous accorde une licence non exclusive et non cessible vous autorisant à Utiliser (tel que défini ci-dessous), sous forme de code objet, une copie du Logiciel sur un seul équipement à la fois pour Vos besoins professionnels internes, sauf indication contraire mentionnée ci-dessus ou dans le ou les Documents Contractuels applicables. Les termes "Utiliser/Utilisation" désignent l'installation, le stockage, le chargement, l'exécution et l'affichage du Logiciel conformément aux Spécifications. Votre Utilisation du Logiciel est soumise aux présentes conditions de licence ainsi qu'aux autres restrictions spécifiées par HP dans d'autres documents imprimés ou électroniques fournis, mis à Votre disposition ou remis lors de l'achat du Logiciel, y compris dans les conditions de la licence, les déclarations de garantie, les Spécifications, et les fichiers "readme" (Lisez-moi) ou autres fichiers d'information inclus dans le Logiciel lui-même. Ces restrictions sont intégrées dans le présent Contrat par référence. Certains Logiciels peuvent nécessiter des clés de licence ou contenir d'autres mesures de protection technique. Vous autorisez HP à s'assurer, à distance ou par tout autre moyen, de votre conformité aux restrictions d'utilisation. Si HP met à votre disposition un programme de gestion des licences permettant d'enregistrer et d'effectuer le reporting des informations sur l'utilisation des licences, Vous vous engagez à l'installer, le configurer et l'exécuter de manière appropriée au plus tard cent quatre-vingt (180) jours à compter de sa mise à disposition et pendant toute la durée d'Utilisation du Logiciel.

b. Le présent Contrat ne confère aucun titre ou droit de propriété et ne constitue en aucun cas une vente ou une cession des droits relatifs au Logiciel. Les fournisseurs tiers sont des ayants-droits au titre du présent Contrat et peuvent faire valoir indépendamment leurs droits relatifs au Logiciel en cas de contrefaçon. HP ou ses fournisseurs conservent exclusivement tous les droits qui ne Vous sont pas expressément concédés dans le cadre du présent Contrat. Aucun élément des présentes ne pourra être interprété comme Vous accordant une licence sur un Logiciel dans des termes autres que ceux expressément mentionnés ci-dessus à l’article 2.

c. Sauf autorisation contraire de HP, (a) Vous ne pouvez faire des copies ou adaptations du Logiciel à des fins d'archivage ou lorsque la copie ou l'adaptation est une étape essentielle de l'Utilisation autorisée du Logiciel sur un ordinateur ou un dispositif de secours, étant entendu que les copies et adaptations ne pourront être utilisées d'une autre manière et que l'Utilisation sur l'ordinateur ou le dispositif de secours devra cesser dès lors que l'ordinateur ou le dispositif d'origine ou de remplacement fonctionnera de nouveau, (b) Vous ne pouvez pas copier, Utiliser ou mettre le Logiciel à disposition sur ou via un réseau réparti public ou externe.

d. Pour utiliser un Logiciel identifié comme étant une mise à jour ou une mise à niveau, Vous devez en premier lieu être titulaire d’une licence sur le Logiciel initial identifié par HP comme étant éligible à une mise à jour ou à niveau. Si la mise à jour ou la mise à niveau est destinée à remplacer substantiellement le Logiciel initial, une fois la mise à jour ou à niveau effectuée, Vous ne pourrez plus Utiliser le Logiciel initial, sauf disposition écrite contraire prévue par HP. Aucun élément du présent Contrat ne vous autorise à acheter ou à bénéficier de mises à jour, mises à niveau ou de prestations de support sur le Logiciel et HP n'est en aucun cas tenu de vous fournir un tel support. Les mises à jour, mises à niveau, améliorations ou autres prestations de support sont uniquement disponibles dans le cadre de contrats d'assistance HP séparés. Pour plus d'informations sur les offres d'assistance, contactez HP. HP se réserve le droit de d’exiger des licences et des redevances supplémentaires pour les mises à niveau ou autres améliorations du Logiciel, ainsi que pour son Utilisation sur des équipements mis à niveau.

e. Vous devez reproduire toutes les mentions de droit d’auteur apparaissant dans ou sur le Logiciel (y compris sa documentation) sur toutes les copies ou adaptations autorisées. Les copies de la documentation sont réservées à un usage interne.

f. Nonobstant toute clause contraire contenue dans les présentes, si le ou les Documents Contractuels précisent que le Logiciel peut être utilisé sur un autre Système Désigné (tel que défini ci-dessous), Votre licence d'Utilisation du Logiciel pourra être transférée sur celui-ci. "Système Désigné" désigne un système informatique possédé, contrôlé ou exploité par Vous ou pour Votre compte uniquement et qui peut en outre être identifié par HP grâce à la combinaison d'un numéro unique et d'un type de système spécifique. Cette licence sera résiliée en cas de modification du numéro ou du type du système, de déménagement non autorisé ou si le Système Désigné cesse d’être en Votre possession ou sous Votre contrôle.

g. Le Logiciel d’exploitation ne peut être Utilisé que lorsque le matériel associé est exploité dans des configurations approuvées, vendues ou mises à niveau par HP ou un Revendeur Agréé HP.

h. Le Logiciel n'est pas conçu, fabriqué ou prévu pour être utilisé comme pièces, composants ou éléments devant servir à la planification, la construction, la maintenance ou l'exploitation directe d'installations nucléaires. Vous êtes seul responsable si le Logiciel est Utilisé pour ce type d'applications et vous devrez indemniser et dédommager HP de toute perte, dommage, dépense ou responsabilité liée à une telle Utilisation.

i Vous ne devez pas modifier, désassembler, décrypter, décompiler ou réaliser des œuvres dérivées du Logiciel. Si Vous bénéficiez d'autres droits en vertu d’une disposition légale impérative, Vous devrez fournir à HP des informations suffisamment détaillées sur les modifications, le désassemblage, le décryptage ou la décompilation que vous envisagez de réaliser et l'objectif poursuivi.

Si Vous programmez ou différez l'installation par HP au-delà de trente (30) jours après la livraison, la période de garantie débutera au 31ème jour à compter de la livraison. f. Si HP est informée d'une réclamation recevable pendant la période de garantie, HP assurera, à son choix, la correction du défaut ou le remplacement du Logiciel HP. Si HP ne parvient pas à corriger le défaut ou à remplacer le Logiciel dans un délai raisonnable, Vous êtes en droit d'exiger un remboursement au prix d'achat payé après avoir rapidement retourné le Logiciel à HP. Les frais de retour du Logiciel à HP seront à Votre charge. HP supportera les frais d'expédition du Logiciel corrigé ou de remplacement. Si le Logiciel Vous a été fourni contre paiement d’une redevance, HP s'engage à prendre à sa charge et à assurer la défense des réclamations déposées à Votre encontre soutenant que les Logiciels HP fournis au titre du présent Contrat violent des droits de propriété intellectuelle dans le pays où ils ont été vendus, sous réserve que Vous :

1. informiez rapidement HP de la réclamation par écrit ;

2. coopériez avec HP dans la défense de la réclamation ; et

3. accordiez à HP le contrôle exclusif de la défense et du règlement de la réclamation.

HP supportera les frais de défense de la réclamation pour violation, les montants des transactions négociées par HP et les dommages-intérêts fixés par un tribunal statuant en dernier ressort.

b. Dans l'éventualité d'une réclamation de ce type, HP pourra modifier les Logiciels HP, acquérir les licences nécessaires, ou remplacer le produit défectueux par un autre offrant des fonctionnalités équivalentes. Si HP considère qu'aucune de ces alternatives n'est raisonnablement possible, Vous serez remboursé d'un montant équivalent au prix d'achat payé pour le produit défectueux si sa livraison date de moins de un an, ou de sa valeur nette comptable passé ce délai.

6. RÉSILIATION

Le présent Contrat est valide jusqu'à sa résiliation ou son refus dans les conditions prévues en préambule. Nonobstant ce qui précède, le présent Contrat pourra également être résilié conformément aux stipulations prévues dans celui-ci ou en cas de non respect par Vous de l’un de ses termes ou conditions. Dès résiliation, Vous devez immédiatement détruire ou renvoyer à HP le Logiciel ainsi que toutes les copies en votre possession. Vous pouvez conserver une copie du Logiciel après résiliation à des fins d'archivage uniquement. À la demande de HP, Vous certifierez par écrit avoir respecté ces obligations. Les articles 3.(i), 3.(ii) alinéa g, 5, 6 et 7 du présent Contrat continueront de s'appliquer après sa résiliation.

a. Vous ne pouvez transférer les microprogrammes (firmware) qu'après avoir transféré le matériel correspondant.

b. Si la licence du Logiciel est concédée pour une utilisation dans le cadre de l'exécution d'un contrat pour le compte du Gouvernement américain, que ce soit sous forme de contrat direct ou de sous-traitance, Vous reconnaissez que, conformément aux textes des règlements fédéraux FAR 12.211 et 12.212, vous détenez une licence d'utilisation commerciale standard HP sur le Logiciel, sa documentation et les données techniques y afférentes.

c. Dans la mesure où Vous exportez, réexportez ou importez le Logiciel, la technologie ou les données techniques sous licence ou fournies en vertu des présentes, Vous assumez l'entière responsabilité de vous conformer aux lois et réglementations applicables, et d'obtenir les autorisations d'exportation et d'importation requises. En cas de violation des lois ou réglementations en vigueur, HP pourra suspendre l'exécution du Contrat.

d. HP se réserve le droit de procéder à des audits afin de s'assurer de Votre conformité aux obligations du présent Contrat. Ces audits seront à la charge de HP et seront effectués pendant les heures de travail normales sur préavis raisonnable. Si un audit révèle que des sommes restent dues, Vous devrez immédiatement vous en acquitter auprès de HP, lui rembourser les coûts raisonnablement engagés pour l'audit et vous mettre en conformité avec les dispositions du présent article.

e. Le présent Contrat est régi par la loi française. Vous et HP convenez que la Convention des Nations Unies sur les contrats de vente internationale de marchandises ne s'applique pas au présent Contrat.

f. Conformément aux autres termes et conditions du présent Contrat, celui-ci constitue l'intégralité de l'accord entre HP et Vous en ce qui a trait à Votre Utilisation du Logiciel. Il annule et remplace les communications, déclarations ou accords antérieurs, ainsi que Vos conditions supplémentaires ou incompatibles avec celles énoncées dans les présentes, qu'elles soient écrites ou orales. Si l'une des dispositions du présent Contrat venait à être considérée comme non valide ou inapplicable, les autres dispositions n’en seront en aucun cas affectées et resteront pleinement applicables.

g. Tout manquement ou retard de HP dans l'exercice de ses droits au titre du présent Contrat ne constituera pas ou ne sera pas considéré comme une renonciation ou une déchéance de ceux-ci.
